Welcome to Trasido Marketplace. These Terms & Conditions govern your use of our website, mobile applications, and services. By accessing or using the Platform, you agree to these Terms. If you do not agree, please discontinue use immediately.

1. Definitions

  • "Platform" – The website, mobile app, and services provided by Trasido.
  • "User" / "Customer" – Any person using the Platform to browse or purchase goods.
  • "Seller" – Any merchant listing and selling products through the Platform.
  • "We," "Us," "Our" – Trasido, the Platform operator.
  • "Account" – User or Seller account registered on the Platform.
  • "Products" – Items sold by Sellers or the Platform.

2. About the Platform

Trasido operates as a marketplace where third-party Sellers offer products to Users. We may also sell and ship products as a first-party vendor. (To be reviewed) While we facilitate transactions, Sellers are responsible for product listings, warranties, and delivery unless explicitly stated otherwise.

3. Eligibility

To use the Platform, you must:

  • Be at least 16 years old
  • Have legal capacity to enter into a contract
  • Provide accurate account information
  • Not be barred under EU/EEA law from using e-commerce platforms

Sellers must comply with all relevant EU laws, including consumer protection, product safety standards, and tax regulations (e.g., VAT obligations).

4. Account Registration

Users must create an account to:

  • Purchase products
  • Track orders
  • Communicate with sellers
  • Access certain features

You agree to:

  • Provide accurate and complete information
  • Keep your credentials confidential
  • Immediately notify us if you suspect unauthorized access

We reserve the right to suspend or delete accounts that violate these Terms.

5. Marketplace Relationship

5.1 Third-Party Sellers

When purchasing from a third-party Seller:

  • The sales contract is between you and the Seller.
  • The Seller is responsible for product quality, delivery, warranty, and compliance.
  • The Platform is not a party to the sales contract unless stated otherwise.

5.2 Platform as a Seller

For items sold directly by Trasido, we assume full responsibility for:

  • Delivery
  • Refunds
  • Product quality
  • Warranty
  • Customer protection

6. Product Listings & Prices

  • Sellers must provide accurate and lawful product information.
  • Prices include all applicable taxes unless stated otherwise.
  • Prices may change without notice.
  • Product availability cannot be guaranteed.
  • We reserve the right to reject or remove any listing that violates legal or policy requirements.

7. Orders & Payments

7.1 Order Process

  • Orders are confirmed when you receive an email acknowledgment.
  • We may cancel or refuse orders for reasons including fraud risk, product unavailability, or pricing errors.

7.2 Payment Methods

We accept:

  • Debit/credit cards
  • PayPal (if configured)
  • Bank transfers
  • Wallet balance
  • Other EU-supported methods (e.g., SEPA payments)

All payments are processed through secure, PCI-DSS-compliant payment gateways.

8. Shipping & Delivery

Delivery services may be handled by:

  • Sellers
  • Third-party logistics providers
  • Our own delivery services

Delivery times shown are estimates and not guaranteed. If the Seller fails to deliver, you are entitled to remedies under EU Consumer Rights Directive (CRD).

9. Returns, Refunds & Cancellations

Consumers in the EU enjoy strong rights under Directive 2011/83/EU (Consumer Rights Directive). Therefore, you have:

9.1 Right of Withdrawal

You may return most products within 14 days without giving a reason.

Exceptions include:

  • Perishable goods
  • Opened software/digital downloads
  • Hygiene products (e.g., razors, undergarments)
  • Personalized/custom-made items

9.2 Refunds

Refunds will be issued within 14 days after:

  • We receive the returned product, or
  • You provide proof of return shipment

9.3 Seller Responsibility

Sellers must:

  • Accept valid returns
  • Issue refunds in compliance with EU law
  • Provide return instructions and address

10. User Responsibilities

By using the Platform, you agree not to:

  • Engage in fraud
  • Post false information
  • Violate intellectual property rights
  • Abuse or harass other users or sellers
  • Attempt to breach security systems
  • Manipulate product ratings or reviews

Violation may result in account termination and legal action.

11. Seller Responsibilities

Sellers must:

  • Provide accurate listings
  • Ensure product compliance with EU safety standards
  • Deliver products on time
  • Pay applicable taxes (e.g., VAT under OSS/MOSS rules)
  • Honor warranties and guarantees
  • Respond promptly to customer requests

We may suspend or remove Sellers who fail to meet marketplace standards.

12. Intellectual Property

All content on the Platform, including:

  • Logos
  • Text
  • Images
  • Trademarks
  • Software
  • Design elements

is owned by Trasido or its licensors and is protected under EU copyright and trademark laws.

Users may not:

  • Copy
  • Distribute
  • Modify
  • Reverse-engineer
  • Sell our intellectual property

unless expressly permitted.

13. Reviews & User-Generated Content

Users may post:

  • Product reviews
  • Ratings
  • Comments

By posting content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute the content.

We may remove content that is:

  • False or misleading
  • Offensive or abusive
  • Spam
  • In violation of any law

14. Prohibited Products

Sellers may not list prohibited items, including:

  • Illegal goods
  • Counterfeit items
  • Weapons & explosives
  • Drugs or controlled substances
  • Unsafe or recalled products
  • Items violating EU regulations (CE marking requirements, etc.)

15. Limitation of Liability

To the maximum extent permitted by EU law:

  • We are not liable for damages caused by Sellers or third parties.
  • We are not responsible for losses resulting from:
    • Incorrect product information by Sellers
    • Delayed or failed deliveries by Sellers
    • User misunderstanding or misuse of products

However, consumer rights under EU law cannot be waived.

16. Indemnification

You agree to indemnify and hold Trasido harmless against claims arising from:

  • Your misuse of the Platform
  • Your violation of the law
  • Your violation of these Terms

17. Termination and Suspension

We may suspend or terminate your account if:

  • You violate these Terms
  • We detect fraudulent or harmful activity
  • Required by law enforcement
  • You request account deletion

Users may delete their account at any time.

18. Privacy & Data Protection

Your use of the Platform is governed by our Privacy Policy, which complies with: GDPR, ePrivacy Directive, Local EU member state laws.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of: Silvonia – an EU Member State where your company is registered.

Any disputes will be handled by the competent courts in:

Lenart v Slovenskih Goricah, Silvonia.

Consumers in the EU also have the right to use Online Dispute Resolution (ODR) via the European Commission.

20. Changes to These Terms

We may update these Terms for:

  • Legal changes
  • Platform improvements
  • Security reasons

Significant updates will be communicated via email or notification. Continued use of the Platform means you accept the updated Terms.
